Micscape Terms and Conditions of Use

By downloading, accessing, or using the Micscape Mobile Application ("the Application"), you hereby agree to be legally bound by these Terms and Conditions. If you do not agree to these terms, you must immediately cease use of the Application and delete it from your device.

1. Eligibility & Account Responsibility

You must be at least 13 years of age to create an account and use the Application. By creating an account, you represent that you meet this age requirement. You are solely responsible for all activity that occurs under your account credentials. You agree to keep your password secure and to notify us immediately at team@micscape.com if you suspect any unauthorized use of your account. Micscape will not be liable for any loss resulting from unauthorized use of your account.

2. Tiered Subscription Services

Micscape offers services under a tiered billing model. By subscribing to a paid plan, you agree to the billing terms governed by the Google Play Store. All prices are listed in United States Dollars (USD).

  • Hobbyist (Free): Includes basic audio/video recording, community access, and limited cloud storage. Supported by advertisements.
  • Creator ($10.00/mo): Includes an ad-free experience, expanded audio tools, 50GB cloud storage, and 100 AI Music Lab Generations per month.
  • Studio ($25.00/mo): Includes high-priority support, collaboration links, 300GB cloud storage, and 300 AI Music Lab Generations per month.

Billing & Cancellations: Monthly credits reset at the start of each billing cycle and do not roll over. To downgrade to the Hobbyist plan, you must manually cancel your subscription via your Google Play Store account settings. Micscape does not provide partial refunds for mid-cycle cancellations.

3. User Content & License Grant

You retain all ownership rights to the original content you create and upload to the Application ("User Content"). However, by uploading or publishing User Content, you grant Micscape a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transcode, reproduce, distribute, display, and perform your User Content solely for the purposes of operating, providing, and improving the Application and its services. This license terminates when you delete your content or your account, subject to our data retention policy.

You represent and warrant that: (a) you own your User Content or have the necessary rights and permissions to grant the above license; and (b) your User Content does not infringe the intellectual property, privacy, or other rights of any third party.

4. Community Conduct & Prohibited Content

You agree not to upload, share, or transmit any content that:

  • Infringes any copyright, trademark, or other intellectual property right of a third party;
  • Is defamatory, obscene, hateful, harassing, threatening, or discriminatory;
  • Contains spam, unsolicited promotional material, or malicious code;
  • Violates any applicable federal, provincial, or local law in Canada or the jurisdiction of the user;
  • Impersonates any person or entity or misrepresents your affiliation with any person or entity.

Micscape reserves the right to remove any content that violates these rules and to suspend or terminate accounts of repeat violators, without prior notice.

5. AI Music Lab (Generative AI)

The Application provides tools for AI-driven music generation using third-party providers (including Google Vertex AI / Lyria and Mureka).

  • Usage Quota: Access to AI generation is limited by your subscription tier. We reserve the right to modify these quotas to ensure system stability.
  • Prohibited Prompts: You are strictly prohibited from using prompts intended to replicate copyrighted works, artists' voices without permission, or generating offensive or harmful content.
  • Safety Filters: Prompts may be blocked by third-party safety filters (e.g., recitation checks). In such cases, your monthly generation credit will not be deducted.
  • Licensing: Creator and Studio users receive a commercial license for tracks generated via the AI Music Lab. Hobbyist users receive a non-commercial, personal-use license only.

6. Collaboration & Derivative Works

Micscape is a collaborative platform. When you set a project to "Public," you grant other users a non-exclusive license to interact with your content via the Collab feature.

  • Collab: The Collab feature copies the audio and video streams from a public project into a new, independent project owned by the collaborating user, and simultaneously overdubs that project with their current performance. The resulting project is a separate work and does not modify your original.

Ownership of Collaborative Works: You retain full ownership of your original public project. Works produced through the Collab feature are independent projects owned by the user who initiated the collaboration. However, because such works incorporate streams derived from your original performance, they may be considered derivative works under the Copyright Act (R.S.C., 1985, c. C-42). By making your project Public, you grant other users the right to create such derivative works for personal or, where applicable to their subscription tier, commercial use, without further compensation to you.

7. Copyright Infringement – Notice & Notice

Micscape respects intellectual property rights and complies with Canada's Notice and Notice regime under the Copyright Act (R.S.C., 1985, c. C-42). If you believe that content on the Application infringes your copyright, please send a written notice to:

Your notice must include:

  • Your contact information (name, address, email);
  • Identification of the copyrighted work you claim has been infringed;
  • Identification of the allegedly infringing content and its location in the Application;
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner;
  • A statement that the information in your notice is accurate, under penalty of perjury.

Upon receiving a valid notice, Micscape will forward it to the user who posted the allegedly infringing content, as required by law.

8. Personal Data & Device Security

The Application processes personal data to provide cloud synchronization and social features.

  • Device Integrity: We strongly advise against using the Application on "rooted" or "jailbroken" devices. Doing so compromises the Application's security layers and may result in loss of data or account suspension.
  • Ambient UI Processing: The Application locally processes project thumbnails and album art to generate UI enhancements (Ambient Mode). This processing happens on-device to protect your privacy.

9. Indemnification

You agree to indemnify, defend, and hold harmless Micscape, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use of the Application; (c) your violation of these Terms; or (d) your violation of any rights of a third party, including intellectual property rights.

10. Disclaimer of Warranties

The Application and all generated content (including AI music) are provided on an "as is" and "as available" basis. Micscape makes no warranties, express or implied, regarding the accuracy, reliability, or copyright-free status of AI-generated content. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of Liability

To the fullest extent permitted by the laws of Ontario, Canada, Micscape shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Application, including but not limited to loss of creative data, unauthorized access to your account, or intellectual property disputes arising from AI-generated or user-uploaded content.

12. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any disputes arising out of or relating to these Terms or your use of the Application.

Before initiating any legal proceedings, both parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of thirty (30) days.

13. Amendments & Termination

We reserve the right to amend these Terms at any time. We will provide notice of material changes by posting the updated Terms within the Application and updating the "Last Updated" date above. Continued use of the Application following any changes constitutes your acceptance of the new Terms. We reserve the right to terminate your access to the Service for any breach of these Terms without prior notice.
